One key issue of interest to in-house lawyers is the proposal to introduce rights for in-house legal services to refuse cooperation (analogous to attorney-client privilege).   <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-d3a1971 e-flex e-con-boxed e-con e-parent\" data-id=\"d3a1971\" data-element_type=\"container\" data-e-type=\"container\" (Art. 160a E-CCP), which promotes compliance through protected early legal advice, and opposes the parliamentary revision (Art. 167a E-CCP), as it could create legal uncertainty and contradict above-mentioned areas, a key issue for in-house counsel is the introduction of the right to refuse cooperation for internal legal departments. This provision aims to eliminate procedural disadvantages faced by Swiss companies in foreign jurisdictions\u2014such as the U.S.\u2014that already recognize professional privilege for in-house counsel.<br>The core objective of this privilege is to promote internal compliance by allowing early and comprehensive legal advice to be protected from third-party access in legal disputes.  <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-cf476cb elementor-widget__width-initial elementor-widget-tablet__width-inherit elementor-widget elementor-widget-text-editor\" data-id=\"cf476cb\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p class=\"p1\">Proposed Article 160a E-CCP (Draft)<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-c410d42 e-con-full e-flex e-con e-child\" data-id=\"c410d42\" data-element_type=\"container\" data-e-type=\"container\" data-settings=\"{&quot;jet_parallax_layout_list&quot;:[]}\">\n\t\t\t\t<div class=\"elementor-element elementor-element-9b5d474 elementor-widget elementor-widget-heading\" data-id=\"9b5d474\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">Article 160a \u2013 Exception for Internal Legal Services<\/h3>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7a784f7 elementor-widget elementor-widget-text-editor\" data-id=\"7a784f7\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p class=\"p1\"><strong>1.<\/strong> No duty to cooperate shall exist for parties or third parties with respect to the activities of an internal legal department, provided that:<\/p><p class=\"p1\"><strong>a.<\/strong> the relevant activity would be considered specific to the legal profession if carried out by an attorney; and<\/p><p class=\"p1\"><strong>b.<\/strong> the legal department is headed by a person who holds a cantonal attorney license or meets the professional qualifications to practice law in their country of origin.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ac89bd9 elementor-widget elementor-widget-text-editor\" data-id=\"ac89bd9\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p class=\"p1\"><strong>2. <\/strong>Documents resulting from communication with an internal legal department are equally protected under the exemption stipulated in Article 160 paragraph 1 letter<\/p><p class=\"p1\">The Legal Affairs Committee of the Council of States has reviewed this provision and recognizes the need for in-house counsel to have a right to refuse cooperation.
